Terms & Conditions

1) Introduction

Welcome to SMARTPROPFIRM LLC (“SmartPropFirm,” “we,” “us,” “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, rewards program (Smart Points), marketplace, and any related products or services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy & Disclaimer Policy (incorporated by reference). If you do not agree, do not use the Platform.

No Financial Advice. We provide informational and educational content only and do not offer investment advice or endorsements of any firm, product, or strategy.

2) Our Services

We provide:

  • Discovery of prop-firm deals and educational resources;
  • A rewards program in which Users can earn Smart Points for eligible, verified purchases;
  • A Marketplace where Smart Points may be redeemed for eligible rewards.

Verification: Point accrual and reward eligibility often depend on third-party confirmation (e.g., partner/prop firm validations, affiliate networks, receipts, or proof of purchase). We may request additional documentation to complete verification.

3) Eligibility & Accounts

  • Age: You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform.
  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Accurate Information: You must provide accurate, current, and complete information and promptly update it if it changes.
  • Notifications: Notify us immediately if you suspect unauthorized access to your account.

We may suspend or terminate accounts for violation of these Terms, suspected fraud/abuse, or prolonged inactivity.

4) Acceptable Use

You agree not to:

  • Use the Platform for unlawful purposes, reverse-engineer or attempt to circumvent technical protections;
  • Submit false claims, forged receipts, or manipulate tracking;
  • Interfere with Platform operation (e.g., scraping at scale, DDoS, automated abuse);
  • Infringe intellectual property, privacy, or other rights.

We may investigate and take action (including suspension, termination, and legal remedies) for violations.

5) Smart Points Program

Nature of Smart Points

  • Smart Points are promotional loyalty points with no cash value, not legal tender, not transferable, and not redeemable for cash unless explicitly stated by us in writing.
  • We may set earn caps, redemption limits, eligibility rules, and expiration windows.

Earning Smart Points

  • Points accrue only for eligible, verified activities (e.g., purchases through our links/codes).
  • If we cannot verify eligibility (e.g., missing or mismatched tracking, refunds, chargebacks), we may deny, reverse, or adjust points.

Adjustments & Forfeiture

  • We may audit point activity. Points may be withheld, reversed, or cancelled for suspected fraud, abuse, ineligibility, refunds, or chargebacks.
  • Upon account closure, any unredeemed Points expire automatically.

Program Changes

  • We may modify, suspend, or terminate the Smart Points program (including earn/redemption rates, eligible activities, and rewards) at any time with or without notice.

6) Marketplace Rewards

  • The Marketplace features rewards, discounts, or products supplied by us or third-party vendors/partners.
  • Availability is not guaranteed. Quantities, eligibility, delivery methods, and lead times may vary.
  • For third-party rewards, the vendor (not SmartPropFirm) is responsible for product/service quality, fulfillment, and support.
  • No Returns/Exchanges: Unless a specific reward states otherwise, Marketplace redemptions are final.
  • We may substitute a reward of equal or greater value if necessary.

7) Affiliate Links & Disclosures

Disclosure: We participate in affiliate programs. When you click our links or use our codes and subsequently make a purchase, we may earn a commission at no extra cost to you. Commissions do not influence our educational or informational content. See our Privacy Policy and the Your Privacy Choices controls for details on optional support tools, tracking, and consent preferences.

8) Accuracy & Content Disclaimer

We strive for accuracy but do not warrant that any information (including firm rules, pricing, promotions, payouts, or policies) is complete, current, or error-free. Always verify with the relevant third party before making decisions.

9) Intellectual Property

The Platform (including text, graphics, logos, code, design, and compilations) is owned by SmartPropFirm LLC or its licensors and is protected by intellectual property laws.

  • We grant you a limited, non-exclusive, revocable license to access and use the Platform for personal, non-commercial purposes.
  • You may not copy, modify, distribute, reverse-engineer, or create derivative works without prior written consent.

10) User Content & Feedback

If you post or submit content (e.g., reviews, comments) you grant us a worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, and display such content in connection with operating and promoting the Platform.

  • You represent you own or have rights to your content and that it does not violate any laws or third-party rights.
  • We may remove content that violates these Terms or applicable law.

11) Third-Party Services & Links

The Platform may link to third-party websites or services. We do not control and are not responsible for third-party content, policies, quality, or performance. Your use of third-party services is at your own risk and governed by their terms.

12) No Financial Advice

All information is provided for informational and educational purposes only and should not be considered investment advice, an offer, or an endorsement. You are solely responsible for your trading decisions and outcomes. Consider consulting a qualified professional.

13) Warranties & Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, secure, error-free, or that defects will be corrected.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SMART PROP FIRM LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Where permitted, our aggregate liability for all claims arising out of or related to the Platform shall not exceed USD $50.

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the minimum extent permitted by law.

15) Indemnification

You agree to defend, indemnify, and hold harmless SmartPropFirm LLC, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of the Platform;
  • Your violation of these Terms or applicable law;
  • Your infringement of any third-party rights.

16) Suspension, Termination & Changes

We may suspend or terminate your access to the Platform (with or without notice) for any reason, including suspected abuse, fraud, or violations of these Terms. Upon termination, your right to use the Platform ceases immediately, and unredeemed Smart Points may be forfeited.

We may modify the Platform, any feature, or these Terms at any time. If changes are material, we will provide notice (e.g., by posting an updated version and updating the date above). Your continued use after changes constitutes acceptance.

17) Governing Law; Venue

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules.

  • Venue: The exclusive venue for any dispute shall be the state or federal courts located in Florida.
  • You consent to the personal jurisdiction of such courts.

Optional (if you choose to adopt): Arbitration & Class Action Waiver. Any dispute shall be resolved by binding arbitration on an individual basis; no class actions. (Consult counsel before enabling.)

18) Electronic Communications

By creating an account or interacting with the Platform, you consent to receive electronic communications from us (e.g., emails about service updates, transactional notices, and—where permitted—marketing communications). You may opt out of marketing at any time, but we may still send transactional/service notices.

19) DMCA / IP Complaints

If you believe content on the Platform infringes your intellectual property, please email support@smartpropfirm.com with:

  • Your contact details;
  • A description of the work you claim is infringed;
  • The URL/location of the allegedly infringing material;
  • A statement under penalty of perjury that you are authorized to act;
  • Your physical or electronic signature.

20) Severability; Waiver; Assignment

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign or transfer your rights under these Terms without our prior written consent; we may assign these Terms as part of a merger, acquisition, or sale.

21) Entire Agreement

These Terms (together with the Privacy & Disclaimer Policy and any feature-specific terms) constitute the entire agreement between you and SmartPropFirm LLC with respect to the Platform and supersede prior agreements or understandings.
